Personal guarantee or liquidated damages
What this clause does
You are personally on the hook for money beyond the business.
Why it hurts you
This reaches past the business into your personal assets. A liquidated-damages figure can exceed anything you ever earned through the agency, turning a bad contract into a life-altering debt.
What a fair version looks like
No personal guarantee. Liability capped at fees paid over the prior 12 months.
Wording you can send back
Neither party shall be personally liable beyond the scope of this Agreement. Each party's aggregate liability is limited to the total fees paid in the twelve (12) months preceding the claim.
Paste this into your reply. Asking for a specific change is far more effective than asking them to "soften" a clause.

This is an automated review to help you spot common problems — not legal advice, and not a substitute for a lawyer. We can miss things, and a clause that looks fine in isolation can still be a problem in context. Have a lawyer review anything you are about to sign.
